Baker & McKenzie advises Emerson on USD$1.44 billion Power Transmission Solutions sale

Baker & McKenzie has advised global manufacturing and technology company Emerson on the international carve out aspects of its USD$1.44 billion sale of its Power Transmission Solutions business to Regal Beloit Corporation.

Led by London-based partner Peter Strivens and supported by senior associates Jannan Crozier and Richard Needham, the highly complex transaction involved eighteen jurisdictions with carve-out in all jurisdictions and cash repatriation in eleven jurisdictions. Power Transmission Solutions designs and manufacturers market-leading couplings, bearings, conveying components, gearing, drive components, and supporting services and solutions with brands including Browning, Jaure, Kop-Flex, McGill, Morse, Rollway, Sealmaster, and System Plast. It formed part of Emerson’s Industrial Automation segment.

The Baker & McKenzie cross-border team comprised partners and associates from many jurisdictions including: Belgium, Brazil, Canada, China, Colombia, France, Italy, Germany, Philippines, Netherlands, Mexico, Singapore, Spain, United Arab Emirates and the United Kingdom.

In 2013, Baker & McKenzie advised Emerson on the international carve out aspects of its sale of a 51% interest in its global Embedded Computer and Power business to Platinum Equity.
