McDermott advises TransDigm on acquisition of SCHROTH Safety Products

27 Feb 2017

FRANKFURT ( February 23, 2017) - McDermott Will & Emery has advised TransDigm Group Inc. in relation to all German law aspects relating to its acquisition of all shares in SCHROTH Safety Products GmbH as well as certain aviation and defence assets from subsidiaries of Japanese TAKATA Corporation.

SCHROTH specializes in specialty technical restraints and passenger seat belts. Located in Germany and Florida, SCHROTH produces a number of technical restraints for the aviation industry especially covering the Airbus and Boeing platforms A350, A380 and B787.

TransDigm Group, through its wholly-owned subsidiaries, is a leading global designer, producer and supplier of highly engineered aircraft components for use on nearly all commercial and military aircraft in service today.

Partner Dr. Michael Cziesla and Counsel Norman Wasse – as previously in co-operation with US law firm Baker & Hostetler – have advised TransDigm on several transactions before their move to McDermott in January, recently on the acquisition of the Telair Group, Franke Aquarotter, and the DDC Group. The team is thus continuing its successful consulting approach in the aerospace sector.

Jonathan D. Crandall (Director Corporate Development and M&A) of TransDigm stated: “This was a great acquisition for TransDigm; Cziesla and Wasse who seamlessly transitioned the mandate in the course of the transaction from their former firm to McDermott, once again did an excellent job enabling TransDigm to react and move fast through a highly complex transaction. Well done to all.”
