Nabarro advises on sale of Fixnetix to Computer Sciences Corporation

13 Aug 2015

Nabarro is advising Fixnetix Limited, the leading provider of front office managed trading solutions in banking and capital markets, on its conditional sale to NYSE-listed Computer Sciences Corporation (CSC), a global leader of next-generation information technology (IT) services and solutions.

With more than 130 capital markets experts serving marquee clients across the industry, award-winning Fixnetix has a proven record of success in providing innovative solutions that streamline front office management and trading systems operations, market information and related technology infrastructure. With headquarters in London, Fixnetix also has operations in New York, Boston, Chicago and Tokyo. Becoming part of CSC will allow Fixnetix access to additional resources to better respond to market demand, address bigger deployments and build on its established success.

The addition of Fixnetix will further advance CSC's position as leader in providing managed services to banking and capital markets firms throughout the world as the industry turns increasingly to outsourcing the management and operation of trading systems and related technology infrastructure.  The transaction will also strengthen CSC's ability to address growing client demand for greater efficiency and innovation in trading, market data, hosting, infrastructure, connectivity and risk management.

The acquisition is subject to customary closing conditions. Financial terms of the agreement have not been disclosed.

The cross-discipline Nabarro team is being led by client and Corporate partner Alasdair Steele, with Corporate senior associate Jack Shepherd and associate Elliot Jackson; Tax partner Graham Muir, senior associate Philip Anderson and associate Linda Abad; Employment senior associate Alison Garrow and Sarah Verrecchia; IP associate Rebecca Day; and Pensions managing associate Sharon Piert.

Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. and Reynolds Porter Chamberlain are advising CSC.

Commenting on the transaction, Corporate partner Alasdair Steele said:

"Having supported Fixnetix and its management team over the last few years, we are delighted to help the company take the next step forward in its evolution.  London has a rightful reputation for developing successful FinTech businesses and this transaction evidences yet another example of a UK-born business in this sector."
