White & Case LLP has advised Cobepa and Kanelium Invest SA on Cobepa's transfer of SGG Group to Astorg Partners.
Established in Luxembourg, SGG Group is a leading independent trust service provider. It offers a variety of tailor-made services for both corporate and institutional clients worldwide, including banks, law firms and managers of funds, and family offices.
Astorg has taken control of SGG through its subsidiary in Luxembourg, Saphilux S.a.r.l., replacing Cobepa which had been a majority shareholder in SGG since 2010 through its Luxembourg holding Kanelium Invest SA. The transaction closed on 10 February, 2016 in London.
"This transaction is a perfect example of the strong relationships White & Case builds with its clients, and the way in which our advice helps them to achieve strategic goals," said Brussels-based partner Thierry Bosly. "We advised Cobepa on its acquisition of SGG, then SGG itself on a number of external growth projects, and now we’ve advised our client on the next phase in SGG's development."
The White & Case team in Brussels which advised on the transaction was led by partner Thierry Bosly with support from local partner Muriel Alhadeff and associates Marie Georgy, Aurélie Cautaerts and Laurent Vercauteren. Astorg was advised by Latham & Watkins.
