Norton Rose Fulbright has advised ASX-listed Tiger Resources Limited (Tiger) on the acquisition of the remaining 40% interest from its joint venture partner, the Kipoi Copper Project.
The acquisition—which involved lawyers from Norton Rose Fulbright’s Melbourne, Perth, Paris and Johannesburg offices—saw Tiger obtain all outstanding shares in Société d'Exploitation de Kipoi SA, the owner of the Kipoi Copper Project in the Democratic Republic of Congo.
Tiger partially funded the US$111 million acquisition price by undertaking a AU$73.4 million placement and underwritten accelerated rights issue. The balance of the acquisition price was funded through a US$100 million debt facility provided by Taurus Mining Finance Fund LP.
The Norton Rose Fulbright team completed the equity capital raising and debt financing within an extremely tight timeframe, ensuring a successful result for Tiger.
The transaction team was led by James Stewart and assisted by Roger Hawkins, Chris Mitchell, Nothando Malaba, Poupak Bahamin, Antoine Thibaud and Desiree Reddy. The debt financing was led by Jake Howard and assisted by Michael O’Shea and Lynette Swart.
