Cuatrecasas, Gonçalves Pereira has advised Banco Santander, BBVA, Credit Suisse and JP Morgan, the joint global coordinators of Enel’s 22% public offering of Endesa shares, targeted at Spanish and international institutional investors, and Spanish retail investors.
The transaction raised €3.132 billion from over 232 million shares priced at €13.50 per share.
A multidisciplinary team from the Madrid office’s corporate, finance, capital markets, banking law, tax, and labor and employment practice areas and groups handled all the legal aspects of the transaction, which partners Fernando Torrente and Juan Antonio Aguayo led.
Cuatrecasas, Gonçalves Pereira advised Enel when it entered the Spanish energy group through a takeover in 2007. After this transaction, its shareholding will be reduced to 70%.
