AdeB assists Shell in downstream business sale in Norway

Shell has signed an agreement with ST1 for the sale of its retail, commercial fuels and supply and distribution logistics businesses in Norway. The sale is subject to regulatory approval and is expected to be completed in 2015.

The transaction includes a licence agreement whereby Shell’s brand will continue to be highly visible for Norwegian customers and which will ensure that Shell fuels and lubricant products, as well as the euroShell loyalty card scheme, continues to have a strong presence in the Norwegian market. Further, as part of the agreement with ST1, Shell’s aviation business in Norway, will become a 50-50 joint venture with ST1.

After a panel win, AdeB were appointed by Shell International as sole external legal advisor, and our team worked closely with the Shell Legal team in London throughout the process.

The AdeB team has been led by Dag Erlend Henriksen and Per Andre Dagslet. Other key team members have been Stein Ove Solberg (antitrust), Gard Skogstrøm and Camilla Ellingsvik (M&A), Anders Voje Heieren (tax), Tron Dalheim and Sven Iver Steen (employment and pension). In addition, Peter Skutvik has been seconded to A/S Norske Shell during the sales process.

This latest engagement follows AdeB’s appointment in the sale of Shell’s share in Mongstad which was completed December 2013.
