NCTM Studio Legale Associato advised KONE S.p.A., the Italian subsidiary of KONE Corporation, the world leader company
in the design, manufacture and maintenance of elevators and escalators, in the acquisition of the entire share capital of Manutenzione Installazione Ascensori S.p.A. (MIA), from Manutencoop Facility Management S.p.A., leading Italian group active in the integrated facility management area, assisted by Gianni Origoni Grippo Cappelli & Partners.

KONE has been assisted by NCTM as legal counsel with a team led by Daniel Tani, equity partner, assisted by Jacopo Arnaboldi, associate. Crowe Horwath AS
worked on the financial due diligence, with a team led by Giovanni Santoro.

The team of Gianni Origoni Grippo Cappelli & Partners assisting Manutencoop Facility Management was led by Federico Dettori, partner, and Rodrigo Boccioletti, senior associate. Fredericks Michael & Co. acted for the company as a financial advisor.

Thanks to the acquisition of MIA, Kone will enhance its strategic presence in Italy. Following the deal, Manutencoop Facility Management has dismissed a non-strategic asset and obtained a positive financial return by its initial investment and the creation of value for the Group. This transaction also allows the total MIA inter-company debt repayment toManutencoop Facility Management.

MIA provides installation services, management, maintenance and modernization of elevators and lifting equipment and is present on the Italian market through a network of branches and subsidiaries. It manages over 16,000 plants and has about 160 employees. In 2013, MIA and its subsidiaries recorded revenues for
EUR 26.2 million, EBITDA of EUR 4.8 million and a net debt of EUR 45.5 million.
