Baker & McKenzie Advised Toyota Tsusho on its Acquisition of All Shares of NovaAgri

Baker & McKenzie Tokyo and the Sao Paulo office of Trench, Rossi e Watanabe Advogados, which has a cooperation agreement with the Firm, jointly assisted Toyota Tsusho Corporation ("TTC") in the purchase of all shares of stock of NovaAgri Infra-Estrutura de Armazenagem e Escoamento Agrícola S.A. ("NovaAgri"), which comprises business on grain warehouses, railway shipment and export terminals, making the Brazil-based company a wholly owned subsidiary.

TTC announced that with this acquisition it will expand from grain infrastructure into the grain accumulation and export business. In the coming months both TTC and NovaAgri will work together to obtain regulatory approvals to close the transaction and will work on plans for post-closing integration.

The value of the deal was not disclosed.

Baker & McKenzie Tokyo team was led by Anne Hung and Samir Desai, with the support of senior associate Bruno Duarte. The Trench, Rossi e Watanabe team in Sao Paulo was led by partner José Roberto Martins and supported by associates Mauricio Pacheco and Adam Milgron.
