Bird & Bird LLP advised the Irish based medical device company Bio-Medical Research Ltd on both the restructuring of its wholly owned German subsidiary, Bio-Medical Research GmbH, and on the subsequent sale of all shares in this subsidiary to Germany based company Schwa-Medico Group.

Bio-Medical Research Limited develops, manufactures and distributes medical devices for muscle strengthening and pain relief through its divisions SLENDERTONE and neurotech. The company offers health and fitness products as well as neuromuscular stimulators for pain therapy and rehabilitation.

The advice through Bird & Bird LLP covered the preparation and implementation of an intragroup asset deal in which Bio-Medical Research GmbH sold and transferred its urological and gynaecological business division to another German subsidiary (BMR Health GmbH).

The remaining orthopaedic business in Germany, Austria, and Switzerland, which provides electrical stimulators for pain management and rehabilitation, was then sold to Schwa-Medico Group through a share deal.
