Norton Rose Fulbright advises Tenova on the reorganisation of its German holding structure

Norton Rose Fulbright has advised Italian-based company Tenova S.p.A. (“Tenova”) on the reorganisation of its German business. The Norton Rose Fulbright team provided German tax, corporate and employment law advice in relation to the reorganisation in addition to advising on Italian tax law aspects of matter as well as change of control aspects for some of the impacted non-German subsidiaries.

Tenova is a worldwide supplier of advanced technologies, products and engineering services to the metals and mining and minerals industries with operations in 26 countries. Tenova has strengthened its position through a series of acquisitions in Germany, including LOI Thermprocess GmbH (Essen), TAKRAF GmbH (Leipzig), the Metall Technologie Holding group (Menden) as well as metallurgical niche technology experts Technometal GmbH and Re Energy GmbH. Following a series of mergers and share transfers, the company’s German holding structure has been significantly streamlined.

The Norton Rose Fulbright team was led from Hamburg by tax partner Uwe Eppler and included of counsel Frank Bayer (Munich), senior associate Alexander von Reuss (Hamburg) and associate Sarah Slavik-Schulz. Partner Frank Weberndörfer and associate Philipp Raben also of the Hamburg office advised on employment law aspects. Milan partner Andrea Fiorelli provided Italian tax law advice.

The in-house legal team at LOI Thermprocess GmbH was led by the head of tax Sandrine Jelitte-Axisa and included General Counsel Ralf-Gernot Böhne and HR Manager Falko Heise. CFO Anett Heinecke led the TAKRAF GmbH team.

Uwe Eppler previously advised the Tenova Group on the acquisitions of LOI Thermprocess GmbH, TAKRAF GmbH, MTH Group, and Technometal GmbH.
