Hill Dickinson’s corporate team has advised its clients Secured Group and Next Wave Partners on the creation of The Delivery Group Limited, which has been formed to combine existing portfolio company, Secured Mail with the newly acquired CMS Network (London) Limited.
The management buy-out transaction, led by corporate partner Craig Scott, to acquire and bring CMS Network (London) into The Delivery Group was funded by private equity house Next Wave Partners and unitranche financing provider, QInvest, while existing working capital facilities provided to The Delivery Group by Shawbrook were extended.
Founded by Mark Bigley in 2006, Secured Mail handles over 400 million items of mail and is one of the largest technology enabled ecommerce and postal logistics businesses in the UK, while CMS Network offers its clients a value-added complete mailroom outsourcing solution with significant clients in the financial and media sectors.
The Delivery Group was established in March 2015 to combine Secured Mail and CMS Network UK Limited under common ownership. The combined group will have an employee base of nearly 300 staff and operate from three major locations in Central London, Luton and Warrington.
Craig and the corporate team had advised Secured Mail and its management team on the original investment by Next Wave Partners in 2011. Craig was supported on the transaction by corporate legal director, Mike Murphy and banking senior associate, Helen Penfold.
