Eversheds advises Synarbor plc on takeover

04 Aug 2015

Eversheds is advising Synarbor plc (Synarbor) on its £18.4 million recommended takeover by Star Bidco Limited, a company formed on behalf of Sovereign Capital IV Limited Partnership, a fund managed by an entity controlled by Sovereign Capital Partners LLP.

Head-quartered in Sheffield, Synarbor is an education recruitment business with over 14 years’ experience in the state, independent and international sectors. The business supplies predominantly temporary teachers, teaching assistants and support staff to its clients comprising primary and secondary schools (including academies), and also special educational needs schools and nurseries. The business engages with approximately 2,000 clients.

The Eversheds’ team is being led by corporate partner Alistair Cree and senior associate Paul Keohane, with support from Elizabeth Tindall (associate, corporate), Laura Evans (associate, corporate), Danny Blum (partner, share schemes) and Richard Sharman (associate, share schemes).

Alistair commented:

“Advising Synarbor on their formal sale process (and the subsequent bid by Star Bidco)  has been a fascinating transaction to work on. Eversheds’ ability to advise (alongside Synarbor’s other advisors) on the strategy and tactics behind the bid is testament to the strength of the firm’s public company offering.”

Dennis Hall, independent non-executive director of Synarbor, said:

“Alistair, Paul and the Eversheds team are providing first rate service on the bid and we look forward to working with them through to its conclusion.”
