Altice – cross-border merger

On 10 August 2015, Altice N.V. announced the completion of the cross-border merger of Altice S.A., a Luxembourg company, with and into Altice N.V., a Dutch public company.
 
The cross-border merger became effective on 9 August 2015. As part of this merger Altice N.V. inter alia introduced common A and common B shares, which shares have similar economic rights but different voting rights. Both the common A and common B shares have been admitted to listing and trading on Euronext Amsterdam.
 
Loyens & Loeff, through its Amsterdam and Luxembourg offices, acted as Dutch (corporate and tax) and Luxembourg (corporate) counsel to Altice.
 
The Loyens & Loeff Amsterdam core team consisted of Nelleke Krol, Guido Portier, Miranda van Es, Michel van Agt and Qury van Vliet (corporate) and Harmen Zeven, Maarten kleine Kalvenhaar and Imme Kam (tax). The Loyens & Loeff Luxembourg core team consisted of Frédéric Franckx, Janine Labush and Clément Leguillon.
 
Further involved as counsels were JP Morgan and Morgan Stanley as financial advisors, Luther Law Firm as Luxembourg legal advisor and Atoz as Luxembourg tax advisor.
