Paris, February 2 2016 – Jeantet is acting as legal adviser of Nippon Steel Sumitomo Metal Corporation in Vallourec’s plan to raise 1 billion euros.
The plan of Vallourec to raise 1 billion euros announced at the beginning of February 2016 is supported by NSSMC and Bpifrance, which shall subscribe through a converted bonds reserved issuance and a share rights offering. This plan shall give both NSSMC and Bpifrance a 15 percent stake in Vallourec. Concerning the Japanese company NSSMC, being a longstanding partner of Vallourec, such transaction also consists on strengthening their research and development cooperation and enhancing business co-owned by NSSMC and Vallourec in Brazil.
Jeantet team was led by Yvon Dréano and Vincent Netter, partners, and Cyril Deniaud, counsel. Among the other advisers in the transaction, Skadden Arps (Olivier Diaz and Charles de Reals) was also acting for NSSMC as well as Van Bael & Bellis (Jean-François Bellis, Richard Burton) on the anti-trust matters. Vallourec was advised by Cleary Gottlieb Steen & Hamilton (Pierre-Yves Chabert) and Bpifrance by Willkie Farr & Gallagher (Daniel Hurstel). Financial advisors were Lazard and Morgan Stanley for NSSMC, Goldman Sachs, Rothschild and Société Générale for Vallourec and Nomura for Bpifrance.
