International law firm Watson Farley & Williams (“WFW“) advised Principia SGR (“Principia”) – via its fund “Principia III – Health”- in connection with its investment in the corporate capital of French pharmaceutical company Ixaltis Sas (“Ixaltis”).
Principia SGR is the leading Italian Venture Capital firm with a focus on Information and Communications Technology (ICT) and life sciences. It currently manages three investment funds – “Principia Fund”, “Principia II” and “Principia III – Health” – which between them have made circa 40 investments in start-up capital and expansion capital (so-called early stage private equity). Ixaltis is a France-based start-up specialising in genito-urinary disorders.
The WFW Italy team advised Principia on the negotiation, drafting and subscription of its settlement agreement with Ixaltis, as well as the drafting and negotiation of the shareholders’ agreements entered into with Ixaltis’ new management.
