Latham Advises on the acquisition of FC Internazionale Milano S.p.A. by Suning Holdings

Firm represents one of Europe's most iconic football clubs in major transaction.

F.C. Internazionale Milano’s Shareholders have approved the issuing of 3,263,021,485 new ordinary shares assigned to Suning Holdings Group. The resolution is part of the agreement that allows Suning Holdings Group to acquire the majority stake (68.55%) in F.C. Internazionale Milano S.p.A, one of Europe’s leading football clubs since its founding in 1908, through the purchase of ordinary shares.

 International Sports Capital (Erick Thohir) becomes a minority shareholder in the Club (31.05%), while Internazionale Holding ceases to be a shareholder and former President, Massimo Moratti, exits the Club after many years of success winning prestigious silverware including the “Triplete” in 2010.

Latham & Watkins represented F.C. Internazionale Milano S.p.A. and International Sports Capital S.p.A. in the transaction with a team led by Milan corporate partner Stefano Sciolla with associate Giancarlo D'Ambrosio. Advice was provided on finance matters by Singapore partner Timothy Hia with associate Dolynn Yap and Milan partner Andrea Novarese with associate Sara Pedrotti.
