DLA Piper advises IGM Resins and Arsenal Capital Partners on the acquisition of global photoinitiator business of BASF

DLA Piper has advised IGM Resins B.V. as well as the US private equity fund which owns the company, Arsenal Capital Partners, on the acquisition of BASF's global photoinitiator business for an undisclosed amount. IGM Resins B.V. is an international supplier of radiation-cured materials.

The company, headquartered in the Netherlands, was founded in 1999 and offers full-service solutions for UV/EB coatings, adhesives and the paint industry. Since 2012, the US private equity fund Arsenal Capital Partners has held the majority of shares in IGM Resins.

The transaction encompasses a range of assets, including technology, acquired patents, customer relations and business-related contracts, and global production locations. The sale of the production facilities in Mortara, which included the takeover of the entire workforce by the purchaser, is anticipated to be completed once local negotiations with the employee representatives have concluded.

DLA Piper advised on the drafting and negotiation of the acquisition documents, as well as on the due diligence process and the fiscal structuring of the purchase.
