Clifford Chance has advised the founders, Thomas Boner and Enno Scheel et al., and Capiton, the financial investor, on the sale of ZytoService Group to the IK VIII Fund of IK Investment Partners, which was launched in 2016. The parties have agreed not to disclose any details of the transaction.
Closing is subject to legal and regulatory approvals. Thomas Boner and Enno Scheel will continue to be shareholders and managing directors of ZytoService. Clifford Chance also advised on the founders' reinvestment.
ZytoService Group, based in Hamburg, was established in 2002 and specialises in the pharmaceutical preparation of individualised parenteral infusions, which are mainly used in oncological therapy. The company is one of Germany's biggest industrial manufacturers holding a licence under section 13 German Pharamceuticals Act (Arzneimittelgesetz).
Capiton AG is an owner-managed financial investor holding participations in larger medium-sized companies based in Germany, Austria and Switzerland which it acquires in the course of management buyouts expansions and the provision of finance.
