Noerr advises ISS Deutschland on acquisition of former E.ON subsidiary EVANTEC

Noerr is again advising ISS Facility Holding Services GmbH on a strategic takeover in the German market. The subsidiary of the listed Danish company ISS A/S is buying EVANTEC GmbH from the Luxemburg private equity fund palero invest. ISS was the successful bidder in a structured auction process. As in previous transactions, ISS is once again relying on a Noerr team led by the Berlin corporate partner Dr. Christoph Spiering.

By taking over EVANTEC, the ISS Group, which is one of the world’s leading groups for facility services achieving sales of €10.66 billion, is once again taking over a company specialising in facility management services in the German energy industry. With a workforce of some 800, the former E.ON subsidiary EVANTEC offers its customers, which include key power plant operators, technical infrastructure and nuclear services. The purchase is still subject to clearance by the Federal Cartel Office in Germany and fulfilment of other contractual conditions. Closing of the transaction is expected to take place in the first quarter of 2017.

The strategic expansion of ISS’ service business in the German energy industry is being legally assisted by the Noerr experts specialising in M&A transactions in regulated industries. A Noerr team led by Christoph Spiering advised ISS already in 2014 on the takeover of the facility service provider VSG GmbH from Vattenfall. Besides, this year Spiering together with Noerr partner Tibor Fedke has also for example advised Veolia on its takeover of Nuon Energie und Service from Vattenfall as well as on the strategic sale of its interest in Kompetenzzentrum Wasser Berlin gGmbH (KWB) to the State of Berlin.
