KWM acts on $340 million ASG acquisition

King & Wood Mallesons (KWM) has advised leading ASX listed IT managed service provider, ASG Group Limited, on its $340 million acquisition by Japanese buyer Nomura Research Institute Ltd (NRI) by way of a scheme of arrangement.

KWM’s M&A and Dispute Resolution practice groups acted on the acquisition, which received overwhelming shareholder support.

The firm worked alongside the ASG merger team, Citi, PwC, Euroz and NRI.

The KWM M&A team was led by Partner Shaun McRobert, supported by Senior Associate David Jewkes and Solicitors Brenda Valdez and Renée Sequeira.

KWM Partner Michael Lundberg and Solicitor Alex Gorovtsov of the Dispute Resolution team also provided excellent carriage of the Scheme through the Federal Court.

Commenting on the deal, Mr McRobert said; “We have been working with ASG for over a decade  and we’re delighted to provide support in relation to this significant deal which will allow ASG to grow further with the strong backing of NRI.”
