Caiazzo Donnini Pappalardo, Nctm, Dentons and Latham & Watkins advise on the acquisition of Lutech from Laserline

One Equity Partners (OEP), a private equity firm operating in the middle market segment, acquired Lutech S.p.A. (and its subsidiares) from majority shareholder Laserline and the other shareholders.

Crédit Agricole Cariparma S.p.A., Banco BPM S.p.A. and Banca IMI S.p.A. acted in the acquisition as arrangers and lenders.

Lutech is a leading italian group in the IT system integration and solutions sector who in 2016 recorded an approx. €180-million overall turnover.

As concerns acquisition matters,  Caiazzo Donnini Pappalardo & Associati (Roberto Donnini, Alessandro Pilarski and Rosanna Arleo) advised OEP and Nctm Studio Legale (Guido Fauda, Michele Motta, Eleonora Sofia Parrocchetti and Martina Villa) advised the sellers and the management. As concerns lending related matters, OEP was advised by Latham & Watkins with a cross-border team led, in Italy, by Andrea Novarese and including Tiziana Germinario, Federico Imbriani and Eleonora Baggiani and, in Germany, by Andreas Diem and including Thomas Freund and Paulina Zulawski.

The parties were assisted with closing formalities by Giovannella Condò, Notary of Milan.

The arranging and lending banks as well as the agent bank (Crédit Agricole Cariparma S.p.A.) were advised by Dentons, with a team led by partner Alessandro Fosco Fagotto and including senior associate Franco Gialloreti and trainee Rosalba Pizzicato.
