Ontario Teachers’ Pension Plan (OTPP), the Danish Labour Market Supplementary Pension Fund (ATP) and Macquarie Infrastructure and Real Assets (MIRA) have entered into agreements on changes in the ownership of Københavns Lufthavne A/S. Bech-Bruun has assisted Ontario Teachers’ Pension Plan throughout the process.
Ontario Teachers’ Pension Plan (OTPP) and ATP have entered into an agreement according to which ATP will invest almost DKK 10bn in OTPP’s holding company, which already indirectly owns approx. 30% of the listed shares in Københavns Lufthavne A/S. OTPP and Macquarie Infrastructure and Real Assets (MIRA) have agreed that MIRA in this connection will sell its securities to OTPP whereby OTPP and ATP will acquire an additional indirect shareholding of approx. 27.7%.
The joint company, which will control Københavns Lufthavne A/S after completion of the transaction, expects to issue a mandatory tender offer to the remaining shareholders, which is expected to be in the order of up to DKK 19bn. Completion of the transaction and the tender offer are subject to obtaining competition law approval from the EU.
