Nature of transaction
Mediahuis will acquire Talpa's 29.16% shareholding in TMG against payment of an amount of EUR 6.00 per TMG share. The price per TMG share is equal to the price offered by Mediahuis under the public offer launched on 19 April 2017. The acquisition by Mediahuis of Talpa's shareholding in TMG is inextricably linked with the sale by TMG Radio of its 23% stake in Talpa Radio to Talpa resulting in a book profit of EUR 8 million. The Radio transaction is subject to the advice of TMG's participation council.
