Dentons advises on $110 million fundraising and AIM listing of Jadestone Energy

London—Dentons has advised the joint bookrunners, Stifel Nicolaus Europe Limited and BMO Capital Markets Limited, on the US$110 million fundraising and AIM listing of Jadestone Energy Inc., the independent oil and gas production company focused on the Asia Pacific region. The fundraising was upsized from the initially announced US$95 million, and Jadestone, which is listed on the Toronto Venture Exchange, expects to be admitted to the AIM market of the London Stock Exchange on 8 August 2018.

The proceeds of the fundraising will primarily be used as equity financing for Jadestone's acquisition of the Montara project in in the Timor Sea off the coast of northern Australia. Jadestone has entered into definitive agreements, which remain subject to regulatory approval, to acquire the Montara asset, which includes three oil producing fields, from Thailand's PTT Exploration and Production.

A multi-jurisdictional Dentons team provided English, Canadian and US law advise to the bookrunners. The team was led by London-based corporate partner, Darren Acres, and also included senior associate James Davison and associate Rachael Dixon in London, partner Bennett Wong in Canada and partner Cameron Half and associate Nicolo Ascione who provided US securities advice.

Dentons' equity and debt capital markets team has advised on a number of cross-border deals in London's public markets recently, including advising Dubai-headquartered RA International on its AIM IPO, advising AIM-listed Vitesse Media on its acquisition of InvestmentNews from US company Crain Communications, and advising Smith & Williamson and Hannam & Partners on the AIM IPO of the ASX-listed independent gold explorer and developer in Brazil, Crusader Resources.
