Freshfields has advised leading European private equity firm Cinven and Spire Healthcare, one of the UK's leading private healthcare providers, on the partial refinancing of its loan facilities through a sale of 12 of its 38 hospital properties subject to leases raising c.£700m
The hospital properties have been acquired by a consortium of investors comprising Malaysia's Employees Provident Fund, affiliated investment funds of Och-Ziff Capital Management Group and Moor Park Capital. Following the transaction, Spire will continue to operate from its 38 hospital sites.
The Freshfields team advising Cinven and Spire was led by Chris Davis and Sebastian FitzGerald (finance), David Higgins and Victoria Sigeti (corporate), Sarah Falk (tax) and John Fordham and Mark Wheelhouse (real estate). They were assisted by a large cross-practice team.
Freshfields has a longstanding relationship with Cinven. Last month, the firm advised Cinven and BCV Investments S.C.A on the sale of Avio S.p.A's Italy-based civil and military aircraft aviation propulsion components and systems business to GE for €3.3bn.
