DLA Piper successfully advised net mobile AG as the main shareholder listed in the segment of the Munich Stock Exchange on the squeeze-out procedure of net-m privatbank 1891 AG. The squeeze-out, which was resolved upon by the Extraordinary General Meeting on November 21, 2012, was entered into the Commercial Register on February 5, 2013 and became effective immediately, since no challenges to the resolution had been filed. The cash compensation to be paid by net mobile AG as main shareholder amounts to € 6.49 per share.
Net mobile AG, based in Düsseldorf, is an internationally leading full-service provider of mobile and interactive value-added services and payment solutions. Among its more than 500 customers are nationally and internationally operating mobile telecommunications providers, media companies, portals, producers of branded goods as well as TV broadcasting institutions, which are provided with mobile interactive TV services. Majority shareholder of net mobile AG is NTT DOCOMO Deutschland GmbH, a fully owned subsidiary of the Japanese telephone corporation NTT DOCOMO INC.
Founded in the year 1877 and based in Düsseldorf, net-m privatbank AG (formerly known as Bankverein Werther AG) is a private bank specializing in transactions with credit cards and other payment products connected with electronic payment transactions.
At the end of 2011 DLA Piper had already advised net mobile AG on the acquisition of the majority stake in former Bankverein Werther AG.
