International law firm Freshfields Bruckhaus Deringer has advised Alinda Capital Partners ("Alinda"), one of the world's largest independently-owned infrastructure investment firms, on the disposal of the South Staffordshire plc group of companies (the "Group") to KKR & Co. L.P.
The Group includes the regulated water companies South Staffordshire Water and Cambridge Water, serving 1.3 million customers in the West Midlands and 0.3 million customers in East Anglia, respectively. The Group also includes a number of non-regulated businesses that provide a range of specialist services to customers in the water and other infrastructure sectors.
The Freshfields team was led by corporate partner Martin Nelson-Jones and senior associate Richard Burrows. The team also included antitrust partner David Aitman and associate Alessandro Turati and tax partner Richard Ballard.
This deal highlights the firm’s expertise in the infrastructure sector and, in particular, its market leading track record in advising on transactions involving water assets. In 2012, the firm advised Alinda on the merger of the South Staffordshire Water and Cambridge Water licences, the first unconditional merger clearance from the Competition Commission. So far this year, the firm has advised Aqueduct Capital (UK) Limited and its shareholders on the disposal of Sutton and East Surrey Water and a consortium led by Aquila Infrastructure Management on the acquisition of a minority interest in Thames Water.
