A Travers Smith team, led by Private Equity partners Chris Hale and James Renahan, has advised 3i Group plc ("3i"), funds managed by 3i and management on the sale of Civica, an international market leader in specialist IT systems and business process services for the public sector, to OMERS Private Equity for an enterprise value of £390m
3i invested in UK based Civica in 2008, in a public to private transaction on which Travers Smith advised. 3i backed the incumbent management team, led by Simon Downing as Chief Executive, to support the team's growth strategy through both organic and acquisitive growth in the UK and internationally. In the period of 3i's ownership, staff numbers across the business have increased from 1,350 to over 2,000 (c.60% of which are based in the UK).
The Travers Smith team advising on the transaction supporting all selling shareholders included Tax partner Russell Warren, Banking partner Andrew Gregson and Corporate associates Jamie Hamilton and Gemma Phillips.
A separate Travers Smith team led by Private Equity partner Paul Dolman (assisted by Matthew Kichenside) advised the management team of Civica on the terms of the sale and on their re-investment in the buyer group. This team also included Tax partner Kathleen Russ.
OMERS Private Equity were advised by a Weil Gotshal & Manges led by Private Equity partners Marco Compagnoni and Simon Lyell.
