DLA Piper has advised the former owners of the German plant and machinery manufacturer Kuhnke AG on the sale of all shares in Kuhnke AG to Kendrion N.V., a Dutch provider of electromagnetic systems and components. Purchaser and seller agreed not to comment on the purchase price. Kendrion acquired common shares and preference shares of Kuhnke AG. As return for common shares, stockholders of Kuhnke AG also acquired shares in Kendrion N.V.
Based in Malente (Schleswig-Holstein), Kuhnke AG develops, manufactures and sells customer specific and standard products and services consisting of electronic, solenoid and pneumatic components for the automotive, machine building and medical equipment industries. In 2012 the company generated a turnover of some 110 million euros with 1,100 employees at its locations in Malente in Germany, Sibiu in Romania as well as in its international sales organisations.
With its head office in Zeist, The Netherlands, Kendrion N.V. is a provider of electromagnetic systems and components. Kendrion's business operations are organised into four business divisions which are Industrial Magnetic Systems, Industrial Drive Systems, Passenger Car Systems and Commercial Vehicle Systems with each of them concentrating on own target markets. The consortium has over 20 locations in America, Asia and Europe.
The team from DLA Piper under the lead of partner Dr Christoph Papenheim (Corporate, Frankfurt) also included partners Martin Heinsius (Tax, Frankfurt) and Richard Fens (Corporate, Amsterdam) as well as counsel Sven-Oliver Friedrich (Corporate, Frankfurt) and senior associate Aston Goad (Corporate, Amsterdam).
