SJ Berwin advised Perceva, an investment company specializing in companies redeployment and holding Perceva Holding, through the implementation of the proposed recapitalization of Groupe Monceau Fleurs.
An investment protocol with the shareholders of Groupe Monceau Fleurs will allow the chain of florists to meet its debts in the short term, complete its restructuring and complete refocusing on its traditional business.
The project plans to launch a public offer for the free float and convertible and an offer on dry obligations also listed, and a series of operations including several capital increases reserved for particular Perceva Holding obligations. At the end of operations, the control structure of the Group will be modified for Perceva Holding.
Founded in 1965, Groupe Monceau Fleurs, listed on Alternext, specializes in the sale of flowers and plants in detail. The group has three franchise networks Monceau, Happy and Rapid'Flore and 462 stores, including 56 outside France.
