Leading international law firm, Freshfields Bruckhaus Deringer has advised DMGT on the proposal made by RCL for the ordinary voting shares of DMGT not already owned by RCL, to be effected by means of a scheme of arrangement.
If effected, the scheme would result in the holding by RCL of all of the ordinary voting shares of DMGT and in the other current ordinary voting shareholders holding instead 'A' ordinary non-voting shares of DMGT, at the ratio of 112.5 'A' ordinary non-voting shares for every 100 ordinary voting shares.
It is expected that, if approved, the scheme will become effective during the fourth quarter of 2013.
The legal team on the transaction is being led by Claire Chapman, General Counsel at DMGT, supported by a Freshfields team comprising corporate partners Julian Long and Barry O'Brien and tax partner Helen Buchanan supported by senior associates Alison Smith and Jonathan Rosen.
