Shearman & Sterling Advises on Intralot’s €325 Million Notes Offering and Tender OfferShearman & Sterling represented Citigroup Global Markets Limited, HSBC plc, Barclays Bank PLC and Société Générale as joint bookrunners on Intralot Finance Luxembourg S.A.’s offering of €325 million of its 9.750% Senior Notes due 2018. The offering, which was conducted pursuant to Rule 144A and Regulation S under the US Securities Act, closed on August 8, 2013.

Concurrent with the notes offering, the firm also advised Société Générale and HSBC as joint dealer managers on Intralot’s tender offer to purchase any and all of its outstanding €140 million aggregate principal amount 2.25% Guaranteed Exchangeable Notes due 2013. The tender offer expired on August 2, 2013 and settled on August 9, 2013. The proceeds from the offering were used to purchase the notes tendered in the tender offer and will be used to repay certain credit facilities and redeem and discharge at maturity any notes not tendered in the tender offer.
