IntercontinentalExchange Group, Inc. $1.4 Billion Senior Notes Offering

Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated, Wells Fargo Securities, LLC, BMO Capital Markets Corp. and Mitsubishi UFJ Securities (USA), Inc. as joint book-running managers in connection with an SEC-registered debt offering by IntercontinentalExchange Group, Inc., a wholly owned subsidiary of IntercontinentalExchange, Inc., of $600 million aggregate principal amount of its 2.5% senior notes due 2018 and $800 million aggregate principal amount of its 4% senior notes due 2023. IntercontinentalExchange Group, Inc. intends to use the net proceeds from the offering to finance a portion of the cash consideration of its previously announced pending acquisition of NYSE Euronext. Pending the consummation of the acquisition, the net proceeds of the offering have been deposited and are being held in an escrow account for the benefit of the holders of the notes. If the acquisition is not consummated, the net proceeds will be used to redeem the notes. The notes are guaranteed by Intercontinental Exchange, Inc. and Baseball Merger Sub, LLC.  Following the consummation of the acquisition, Intercontinental Exchange, Inc. and Baseball Merger Sub, LLC (as successor to NYSE Euronext) will be direct, wholly owned subsidiaries of IntercontinentalExchange Group, Inc.
