Bingham Close Deal for Platinum Equity

Bingham, led by partners Jim Loss and Todd Hentges, represented Platinum Equity in its recent acquisition of a 51 percent stake in Emerson Electric Co.’s embedded computing and power business (EC&P). The EC&P business, headquartered in Carlsbad, Calif., had revenue of approximately $1.4 billion worldwide in 2012 and required antitrust approvals in a variety of jurisdictions, including China, South Korea, Germany, Poland, the U.S. and the European Union. The rollover transaction structure allows Emerson to participate in the upside from repositioning the business as it focuses on growth under Platinum Equity’s management. In addition to Jim and Todd, the Bingham team included associates Tyler Mah and Jennifer Coupland. Bingham’s Beijing office, led by Bingham Consulting principal and partner Brian Beglin, helped with China matters, and the Hong Kong office, led by partner Matthew Puhar and counsel Charles Rogers, helped with Hong Kong matters.
