Herbert Smith Freehills advises on the development of Victoria’s Cherry Tree Windfarm

Herbert Smith Freehills has advised Cherry Tree Wind Farm Pty Ltd on the development of the Cherry Tree Wind Farm project.

The 57.6MW Infigen Energy development was acquired by John Laing under an innovative Capital Lite structure in conjunction with the project achieving financial close on 18 December 2018.

Cherry Tree Wind Farm will be developed approximately 15km south-east of Seymour, in Victoria. Construction is due to begin in early 2019, with the wind farm expected to be fully operational by May 2020.

Dentons advises Wintershall on investment into the Ghasha ultra-sour gas mega project

London—Dentons has advised Wintershall Holding GmbH, Germany’s largest crude oil and natural gas producer and a wholly owned subsidiary of BASF, on its acquisition of a ten per cent stake in the Ghasha concession alongside the Abu Dhabi National Oil Company (ADNOC) in the United Arab Emirates.

Wintershall joins ADNOC and Eni (the Italian multinational oil and gas company) in the concession, which consists of the Hail, Ghasha, Dalma and other offshore sour gas fields.

Ashurst advises Siccar Point Energy on increase and extension of debt facility to US$800 million

International law firm Ashurst has advised Siccar Point Energy on the increase of its existing reserve based lending facility ('RBL') from US$600 million to US$800 million. The agreement, reached with the participation of all Siccar Point Energy's existing banks, includes an extension of its maturity by two years, to 2025.

The Ashurst team was led by oil and gas financing partner Huw Thomas, assisted by associate Nicole Lim. The team worked closely with David Sheach, general counsel of Siccar Point Energy.

Cross-border Latham team advises on the offering

Solarpack, a Spanish multinational company specialized in the development, design, financing, and construction of photovoltaic systems for solar energy production, successfully concluded the listing of its ordinary shares on the Bilbao, Madrid, Barcelona, and Valencia Stock exchanges. This initial offering, which represents 36.7% of the company’s capital, gives Solarpack €100 million in proceeds, which may be extended by up to €10 million if the overallotment option is exercised in the coming weeks.

DLA Piper has advised John Swire & Sons and its wholly-owned subsidiary, Argent Energy, on the acquisition of Biodiesel Amsterdam (BDA) – a leading producer of second-generation biodiesel made from used fats and oils, Tankstorage Amsterdam (TSA) – a tank storage company for vegetable oils and fats and biodiesel, and Tank & truck cleaning Amsterdam (CSA) – a tank and truck cleaning service in the port of Amsterdam, from the Amsterdam-based Simadan Group.

Nexans Renewal of Its €600 Million Revolving Credit Facility

Shearman & Sterling advised Nexans on the signature of a €600 million Revolving Credit Facility with 11 of its core banks for a period of five years, thereby extending the tenor of the Group’s access to liquidity until 2023.

This facility amends and restates the €600 million Revolving Credit Facility signed by the Group in 2015 that was due to expire in December 2020.
