Dechert Advises GOGC on Market-Leading International Capital Markets Transactions

Dechert LLP acted as English, U.S. and Georgian counsel to its longstanding client JSC Georgian Oil and Gas Corporation ("GOGC") on GOGC’s tender offer to buy back any or all of its US$250 million of 6.875% Notes due 2017 from its debut offering in 2012 (the "Existing Notes") and on GOGC’s simultaneous new offering of US$250 million of 6.750% notes due 2021 (the "New Notes"). Dechert also advised GOGC on the 2012 issuance of the Existing Notes.

Slaughter and May advised Tenaga Nasional Berhad - proposed USD300 million investment in GMR Energy Limited

Slaughter and May, Hong Kong, advised Tenaga Nasional Berhad (Tenaga) in relation to the proposed subscription, through its wholly owned subsidiary Power and Energy International (Mauritius) Ltd. (PEIM), for equity shares in GMR Energy Limited (GMR Energy) and its proposed strategic partnership with GMR Energy in the power production business in India. The proposed subscription will give PEIM a 30% stake in GMR Energy on a fully diluted basis for a total cash consideration of US$ 300 million.

Dentons advises CEFC Hainan International Holding Co., Ltd. in acquisition of majority stake in KMG International (KMGI)

Dentons has advised CEFC Hainan International Holding Co., Ltd., a subsidiary of CEFC China Energy Company (CEFC), in its acquisition of a majority stake in KMG International (KMGI), a unit of Kazakhstan’s state oil and gas company, which owns refining and fuel distribution assets in Europe.

WFWAP advises Andalas on farm-in, reverse takeover and placing

Watson Farley Williams Asia Practice LLP (“WFWAP”), the Singapore office of International law firm Watson Farley & Williams, has advised Andalas Energy and Power plc (“Andalas”) on its conditional farm-in to the Tuba Obi East Technical Assistance Contract, which constituted a reverse takeover pursuant to the AIM Rules for Companies, re-admission to AIM and conditional placing raising £2.6 million.

Andalas focuses on power generation and exploration and production activities in Indonesia.

Dentons advises GEO Renewables on two wind projects in Poland

Dentons’ Energy and Natural Resources team in Warsaw advised Grupa Energetyki Odnawialnej Renewables (GEO Renewables) on the sale of shares in the Lubartow wind farm in Poland to IKEA. They also advised GEO Renewables on  an exchange of shares in the Ilza, Jedrzychowice and Zgorzelec wind farms in Poland with EDP Renewables. Both transactions were completed in March 2016.

Slaughter and May advised Centrica plc - placing of shares

Slaughter and May advised Centrica plc on a placing of approximately 7% of its existing issued share capital, which raised gross proceeds of approximately £700 million (the Placing). The Placing, which was announced on 5 May 2016, was conducted by an accelerated book-building process. Goldman Sachs International and UBS Limited acted as joint bookrunners in connection with the Placing.

Slaughter and May worked as a team with Paul, Weiss, Rifkind, Wharton & Garrison LLP, who advised Centrica plc on the US law aspects of the Placing.

International law firm Pinsent Masons has been appointed to advise DONG Energy on the Hornsea Project Three offshore wind farm.

At 2.4 Gigawatts, Hornsea Project Three has the potential to be the world’s largest offshore wind farm, powering over two million UK homes.

Hornsea Project Three will be located to the east of the round three Hornsea Offshore Wind Zone, approximately 120 kilometres from the Yorkshire coast.

DLA Piper advises ENN Ecological Holdings on US$750 million acquisition of Santos Limited

DLA Piper has acted as international and Australian counsel for Shanghai-listed ENN Ecological Holdings Co., Ltd (ENN), the largest private natural gas company in China, on its recent acquisition of Hony Capital’s approximately 11.72% stake in Australian-energy company, Santos Limited (Santos). The total consideration was approximately US$750 million.
