DLA Piper advises ARENA on Coober Pedy Renewable Diesel Hybrid project

DLA Piper has advised the Australian Renewable Energy Agency (ARENA) on the Coober Pedy Renewable Diesel Hybrid project, which has reached financial close.

The project involves a unique hybrid combination of 4 MW wind, 1 MW solar and a 1MW/250kWh battery with enabling and integration technologies to supply the Coober Pedy township with up to 70 per cent renewable energy over the 20 year project life.
 

WFW advise Greentech on the sale of its Polish wind farm portfolio

International law firm Watson Farley & Williams (“WFW“) advised Greentech Energy Systems A/S, a major Danish renewable energy group listed on the Copenhagen Nasdaq OMX, on the sale of all its Polish wind farms, Parnowo, Ustka and Smolecin, with a total capacity of 108 MW, to EDF EN POLSKA SP. Z.O.O., a subsidiary of EDF Energies Nouvelles.

Following the sale, EDF EN POLSKA own 100% of the Project Companies and take over all further development activities and related expenses as well as the construction of the projects.

CMS advises on the creation of mandatory fuel reserves

CMS has acted as legal advisor in the process of obtaining financing and securing against legal risks associated with the purchase and storage of diesel fuel for UNIMOT SA in light of the Polish Act on mandatory reserves of fuel. Funding for the purchase of the mandatory reserves has been provided by ING Bank Slaski SA and the storage for mandatory reserves will be covered by the largest national operator specialising in the storage and handling of fuels – Operator Logistyczny Paliw Plynnych (OLPP).

Statoil Fuel and Retail's takeover of Shell's Danish downstream business approved by European Commission

Plesner has assisted Statoil Fuel & Retail A/S ("SFR") in obtaining Phase I approval of its proposed acquisition of Shell's retail, commercial fuels and aviation businesses in Denmark.
In March 2015, SFR, the wholly-owned indirect Danish subsidiary of Alimentation Couche-Tard Ltd. of Canada, announced an agreement with A/S Dansk Shell to acquire Shell's retail, commercial fuels and aviation businesses in Denmark.
 

Hengeler Mueller advises Amprion on refinancing

The transmission grid operator Amprion GmbH (“Amprion”) has entered into a €750m long-term syndicated loan to finance its operations and the redistribution mechanism under the EEG (German Renewable Energies Act). The new credit facility refinances a financing originally taken out in 2011 upon the separation of Amprion
from the RWE group..

Herbert Smith Freehills advises AGL on the A$151 million sale of its 50% interest in Diamantina Power station

Herbert Smith Freehills is pleased to be advising AGL Energy Limited (AGL) on the A$151 million sale of its 50 percent equity interest in the Diamantina Power Station joint venture (DPS) to APA Group, its joint venture partner in DPS.

DPS is located in Mt Isa, Queensland and comprises the 242 MW combined cycle gas turbine Diamantina Power Station and the 60 MW open cycle gas turbine Leichhardt Power Station, serving its foundation customers Glencore and Ergon. AGL will continue to supply gas to DPS under the existing gas sales agreement which runs to 2023.

KWM drives acquisition of power plant valued at $151 million

King & Wood Mallesons (KWM) has advised APA Group on its acquisition to buy AGL Energy out of their interest in the Diamantina power plant in Queensland.

The acquisition fits within APA’s growth strategy by adding further to their infrastructure business. The KWM team was led by Partner Craig Rogers and Senior Associate Roderick Smythe - with support from Theadora Tsangari and Michelle Crocker.

Commenting on the deal, Partner Craig Rogers said, “We’re delighted to assist APA Group execute another of its important transactions.”

WFW advises Westermost Rough on OFTO divestment

Watson Farley & Williams (“WFW”) advised Westermost Rough Ltd (“WMR”), a joint venture between DONG Energy A/S and the UK Green Investment Bank plc and Marubeni Corporation, on the sale of transmission assets valued at approximately £157m to TC Westermost Rough OFTO Limited (“TCP”), owned by a consortium comprising Transmission Capital Partners LP and International Public Partnerships Limited. The divestment took place pursuant to the Offshore Transmission Owner (“OFTO”) regime.

Herbert Smith Freehills advises TIO (NZ) Limited on its takeover bid for Flinders Mines Limited

Herbert Smith Freehills is advising TIO (NZ) Limited (TIO), a wholly-owned subsidiary of The Todd Corporation Limited (Todd Corporation) on its unconditional all-cash takeover bid for Flinders Mines Limited (Flinders), which values Flinders at approximately A$38 million.

Todd Corporation is one of New Zealand’s largest companies and has interests in oil and gas exploration and production, minerals, electricity generation, energy retailing, property development, healthcare, technology and wine.

Linklaters advises as Rosneft sells stakes in its subsidiary to Indian consortium

Linklaters has advised Rosneft (acting by the wholly owned subsidiary RN-Razvedka i Dobycha) as it signed a binding agreement to sell 29.9% participatory share in its Taas-Yuryakh Neftegasodobycha subsidiary to a consortium of three Indian companies: Oil India, Indian Oil and Bharat Petroresources.

Taas-Yuryakh Neftegasodobycha operates one of the largest oil and gasfields in eastern Siberia.
