Clifford Chance cross-practice team advises Salamander Energy plc on successful securities exchange offer from Ophir Energy plc

A cross-practice team from Clifford Chance has advised Salamander Energy plc on its recommended share exchange acquisition by Ophir Energy plc, which became effective today.

The successful completion of Ophir's recommended offer for Salamander, which was valued on announcement at approximately £314 million, is the final step for Salamander in a long transaction process which included an aborted formal sales process, an agreed asset sale to SONA Petroleum Berhard and, subsequently, interest from multiple potential bidders and a recommended offer from Ophir.

ShaMaran Petroleum Corp. has issued shares in a rights issue of approximately CAD 75 million on Nasdaq First North and TSX Venture Exchange

ShaMaran Petroleum Corp. announced on 15 October 2014 a rights issue of approximately CAD 75 million for the company’s shareholders which held shares on Nasdaq First North and TSX Venture Exchange. The company has furthermore published a prospectus regarding the rights issue. The company issued a total amount of 713,308,912 shares in the rights issue, the completion of which was announced on 10 February 2015.

P+P advised EQT on the acquisition of EIS Aircraft Group

Swedish private equity investor EQT has purchased the EIS Aircraft Group. The E.I.S. Group consists of the E.I.S. Holding GmbH, E.I.S. Aircraft GmbH and the DEVA-Plastics Technology GmbH. The sellers consisted of a group of private investors. The purchase price was not disclosed.

The E.I.S. Aircraft Group is a provider of products and services to civil and military aviation. The company develops and produces cabin interiors for commercial aircraft and provides in addition aircraft maintenance and repair services. Customers include, inter alia, Airbus and Boeing.

Eversheds advises on largest ever renewable energy project to receive UK planning consent

Eversheds has successfully advised the Forewind consortium on an offshore wind energy project at Dogger Bank in the North Sea – making it the largest renewable energy development ever to receive planning consent in the UK.

Dogger Bank Creyke Beck, which has a total generating capacity of 2.4GW, is expected to be one of UK’s largest power generators. It comprises of two separate 1.2GW offshore wind farms, each with up to 200 turbines installed across an area of around 500km2.

Shearman & Sterling Advises Alerion Clean Power S.p.A. on €130 Million Notes Offering

Shearman & Sterling represented Alerion Clean Power in connection with its offering on the MOT market of the Milan Stock Exchange Market of €130 million of its 6.00% unsecured notes due 2022.

Alerion Clean Power S.p.A. engages in the production of electricity from renewable sources, primarily in the wind sector. The company is headquartered in Milan, Italy and listed on the Milan Stock Exchange.

Schjødt advises Rocksource

Schjødt has advised the quoted oil company Rocksource ASA in connection with the mandatory offer from Hitec-owned EPSI AS and in connection with the ongoing rights issue in the company.

EPSI announced a mandatory offer for all shares in Rocksource. The company announced shortly after a NOK 210 million rights issue to strengthen its balance sheet and to finance the further development of the Pil and Bue discovery. Schjødt has been engaged as the company's legal adviser in relation to both the mandatory offer and the rights issue.
