Davis Polk Advises Special Committee to Ormat Technologies on Merger with Parent Company

Davis Polk is advising the special committee of the board of directors of Ormat Technologies, Inc., a Delaware corporation (“OTI”), in connection with OTI’s entry into a share exchange agreement and plan of merger with its parent entity, Ormat Industries Ltd., an Israeli corporation (“OIL”). Under the agreement, OTI will acquire OIL through a share exchange that will eliminate OIL’s majority ownership interest in, and control of, OTI.

Freshfields advises CEPSA on UAE joint venture with Cosmo Oil

Freshfields Bruckhaus Deringer has advised Compañía Española de Petróleos, SAU (CEPSA) on its entry into a joint venture to operate in the United Arab Emirates with Cosmo Oil Co. Limited (Cosmo Oil).

Wholly-owned CEPSA subsidiary CEPSA International BV is taking a 20% stake in Cosmo Abu Dhabi Energy Exploration & Production Co., Ltd., which holds a majority interest in Cosmo Oil subsidiary Abu Dhabi Oil Company, for approximately US$217m.

Baker & McKenzie Advises on Landmark Rajamandala Hydroelectric Power Project

Baker & McKenzie has advised on the Rajamandala 1 x 46.6 MW run-of-the-river hydroelectric power plant to be constructed in Citarum Basin, Cianjur Regency, West Java, Indonesia. The project, which achieved financial close in August 2014, is the first major power project in Indonesia in recent years to successfully raise international limited recourse project financing without the Government of Indonesia providing a business viability guarantee.

Sumitomo Corporation acquired a 39.02% stake in the Belwind project from Parkwind. The Belwind offshore wind farm is located on the Bligh Bank in the Belgian Exclusive Economic Zone of the North Sea, approximately 46km off the coast of Belgium and has a production capacity of 165 MW. The Belwind project has been in operation since late 2010.

WFW advises DONG Energy on 750MW extension to Walney Offshore Wind Farm

Watson, Farley & Williams (“WFW”) has advised DONG Energy on its successful application for a development consent order (“DCO”) for the Walney Extension Offshore Wind Farm. The DCO, which was granted by the Secretary of State for Energy Climate Change today, authorises a 750MW extension to the existing Walney I & II offshore wind farms. The project, when constructed, could include up to 207 wind turbines, power around 500,000 homes and will be located in the Irish Sea, between the west coast of Heysham and the Isle of Man.

Seven Generations Energy Completes $815 Million Common Share Offering and TSX Listing

The Firm represented Seven Generations Energy Ltd. (“7G”) as U.S. counsel in connection with its recent C$931.5 million ($815 million) common share offering. The common shares were offered in the U.S. pursuant to Rule 144A and outside of the U.S. pursuant to Regulation S as part of 7G’s initial public offering in Canada. 7G’s common shares are now listed on the Toronto Stock Exchange under the ticker symbol “VII.” 7G intends to use the net proceeds from the sale of the common shares to fund its ongoing capital investment program.

Linklaters acted for the shareholders of Eggborough Power Limited, which owns the 2GW Eggborough Power Station located in Yorkshire, England, on its sale to Energetický a prumyslový holding (EPH), a leading Central European energy group operating mainly in the Czech Republic, Slovakia and Germany. Transaction completion is subject to approval by the European Commission.
