China Power International Development - issue of RMB 2 billion 4.5% bonds due 2017

Slaughter and May, Hong Kong, is advising China Power International Development Limited in relation to its issue of RMB 2 billion 4.5% bonds due 2017. The joint bookrunners and lead managers in respect of the bond issue are BOCI Asia Limited, Bank of China (Hong Kong) Limited, Bank of Communications Co., Ltd Hong Kong Branch and Industrial and Commercial Bank of China (Asia) Limited.

An application has been made for the bonds to be listed on the Hong Kong Stock Exchange as a debt issue to professional investors only.

Cowan Oil and Gas Namibia (Proprietary) - assignment by way of a farm-out agreement

Slaughter and May, working as a team with the in-house legal team at Cowan and Barbosa, Müssnich & Aragão Advogados, advised Cowan Oil and Gas Namibia (Proprietary) Limited (Cowan) on the assignment by way of a farm-out agreement of Cowan's participating interest in the petroleum exploration licence PEL 0046 covering Blocks 2613A and 2613B located offshore of the Republic of Namibia to Murphy Oil and Gas (40%) and OMV Namibia (25%).

GasLog Ltd.'s Registered Common Share Offering

Cravath represented GasLog Ltd. in connection with its US$116 million registered offering of common shares. GasLog Ltd. is an international owner, operator and manager of liquefied natural gas (LNG) carriers providing support to international energy companies as part of their LNG logistics chain. The shares were listed on the New York Stock Exchange. The transaction closed on April 16, 2014.

Ashurst advises EWE Vertrieb on sale of an interest in North Sea UK Seaward Production Licence P.1293

Ashurst has advised EWE Vertrieb GmbH on the sale of its 20 per cent. interest in North Sea UK Seaward Production Licence P.1293 (Block 14/18b ALL) which includes the Athena Field.

The buyer is Parkmead (E&P) Limited, a direct subsidiary of The Parkmead Group, who are listed on the AIM Market of the LSE. The sale was made for a total consideration of US$11,200,000 which consisted of US$8,000,000 in cash (adjusted down to US$2,678,883.89 on completion) and US$3,200,000 in shares in The Parkmead Group.

Norton Rose Fulbright advises Norsk Hydro on sale of Hydro Aluminium Gießerei Hannover

Global legal practice Norton Rose Fulbright has advised the Norwegian aluminium group Norsk Hydro ASA on the sale of Hydro Aluminium Gießerei Hannover GmbH to a private investment group. The seller is Aluminium Deutschland GmbH, a subsidiary of Norsk Hydro based in Grevenbroich/northern Germany. The contracts were signed on 15 April 2014. The closing of the transaction is scheduled for the second quarter of 2014.

Davis Polk advised Solazyme, Inc. (SZYM) in connection with its concurrent SEC-registered offerings of 5,750,000 shares of common stock (which included 750,000 shares from the full exercise of the underwriters’ option to purchase additional shares) and an aggregate principal amount of $149.5 million of 5% convertible senior subordinated notes due 2019 (which included $19.5 million aggregate principal amount of notes from the full exercise of the underwriter’s over-allotment option). 

King & Wood Mallesons SJ Berwin advise Alderney Renewable Energy Limited on its joint venture with OpenHydro

King & Wood Mallesons SJ Berwin is advising tidal developer Alderney Renewable Energy Limited (ARE) on the new joint venture for the development of a 300MW tidal array in the Alderney race.  The joint venture is with leading tidal turbine developer OpenHydro, a subsidiary of DCNS, the French manufacturing group, which is constructing a new plant in Cherbourg to make the tidal turbines.  The joint venture agreement was signed and announced in Cherbourg in early April.
