Dentons Morocco advises Gaia Energy on its partnership with IFC to increase wind development across Africa

Casablanca—Dentons Morocco has advised Gaia Energy on a new partnership with the International Finance Corporation (IFC), a member of the World Bank Group, to create a joint platform for the development of wind power and other renewable energy projects in Africa. The new joint platform will start with a pipeline of 22 projects in nine countries across North, West and East Africa, representing a pipeline under development of more than three gigawatts. Originally developed by Gaia Energy, the pipeline will be progressively enlarged to new countries across the continent.

Dentons advises PGE on a record-breaking financing agreement

Dentons advised the biggest energy group in Poland, PGE Polska Grupa Energetyczna S.A., on a PLN4.1 billion (EU957 million) financing transaction, the largest revolving credit facility issued in the country in 2018.

The revolving credit facility was provided by a consortium of banks, including PKO Bank Polski S.A., Intesa Sanpaolo S.p.A., MUFG Bank (Europe) N.V. and Santander Bank Polska S.A.

The funds will be used to finance PGE Group's day-to-day business activity, investment expenses and capital expenditures, and to refinance the group's debt.

We advised Statkraft on its acquisition of wind development business in Ireland and the UK, Element Power Ireland Ltd and three UK project companies. Statkraft acquired 100 per cent of the shares in Element Power’s Irish and UK subsidiaries (excluding Greenlink Interconnector Limited) from Element Power’s principal owner Hudson Clean Energy Partners AIV LP.

Freshfields advises Neptune Energy on the acquisition of 100 per cent of the shares of VNG Norge

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Neptune Energy Group (‘Neptune Energy’) on the acquisition of 100 per cent of the shares of VNG Norge AS (‘VNG Norge’) from VNG AG, the German natural gas wholesaler and energy service provider. The transaction closed on 28 September 2018.
 

Qutoutiao Completes US$96.6 Million NASDAQ IPO

Simpson Thacher represented Qutoutiao Inc. (“Qutoutiao”) in connection with its initial public offering and listing on the NASDAQ Global Select Market. The offering was comprised of 13,800,000 American Depositary Shares, representing 3,450,000 Class A ordinary shares, including full exercise of the underwriters’ overallotment option. The total offering size was US$96.6 million. Citigroup and Deutsche Bank Securities as well as China Merchants Securities (HK) and UBS Investment Bank acted as representatives to the underwriters of the offering.
