In May 2018, the first new energy project in Europe, jointly developed by Shanghai Electric Power Co., Ltd. (Shanghai Electric Power) and Malta Government, namely Mozura Wind Power Project in Montenegro (the project), has successfully completed financing. King& Wood Mallesons advised Shanghai Electric Power by providing comprehensive legal services in banking finance, regarding the financing by the Bank-led consortium ("Syndicate") on the project.

Innovative transaction applies the Acupay System structure to accommodate tranches of securities in US dollars issued outside the US.

Eni has successfully returned to the US market and priced a dual tranche fixed rate bond issue with maturities of 5 and 10 years for a total principal amount of USD 2 billion. The transaction applies the innovative Acupay System structure to accommodate tranches of securities from Italian issuers in US dollars offered and sold both inside and outside the US.

Gide advises Total on the sale of its China polystyrene business to INEOS Styrolution

Gide is advising Total on the sale of its polystyrene business in China to INEOS Styrolution, the leading global styrenics supplier. The sale includes two facilities with annual production capacities of 200,000 tons each, located in Ningbo, Zhejiang Province, and Foshan, Guangdong Province.

The transaction is subject to the approval of regulatory authorities.

Gide is advising Total on all legal and tax aspects of the project, including legal vendor due diligence, structuring, and negotiation and drafting of the transaction documents.

Energy experts advise AGL on sale of asset portfolio to Whitehelm Capital

Herbert Smith Freehills has advised AGL Energy Limited (AGL) on the sale of a portfolio of assets, known to AGL as the ‘National Assets’. The National Assets were sold to Sustainable Energy Infrastructure, a consortium led by Whitehelm Capital.

The transaction involves the sale of assets, across 18 separate locations throughout Australia, with a combined capacity of 81MW. The National Assets comprise landfill gas, biogas and biomass generation and cogeneration in addition to compressed natural gas refuelling.

Ashurst advises EnQuest on $175 million financing

International law firm Ashurst has advised EnQuest on the execution of a financing agreement for $175 million with funds managed by Oz Management. The financing is structured on a discrete 15% interest in the Kraken Field, the affiliate transfer for which is subject to normal regulatory approval, with repayment made out of the cash flows from this 15% interest.

Ashurst has advised on the finance, commercial and certain tax aspects of the transaction, working closely with EnQuest's general counsel Stefan Ricketts and senior legal adviser Dawood Ahmed.

Baker McKenzie advises PT Perusahaan Listrik Negara (Persero) on USD1.5 billion revolving credit facility and term loan facility

A cross-border team from Baker McKenzie has advised PT Perusahaan Listrik Negara (Persero) ("PLN") on a revolving credit facility and a term loan facility at a total value of USD 1.5 billion, with a greenshoe option of up to USD 500 million.

This deal is the first large-scale syndicated offshore financing for the Indonesian state-owned power company. The loan facilities will be used by PLN for capital expenditure and general corporate purposes.

Matheson Advises Irving Oil on its Acquisition of Top Oil

Matheson advised Canadian-owned Irving Oil on its acquisition of Top Oil. The acquisition will complete once all conditions of the sale have been met (including approval by the Competition and Consumer Protection Commission in Ireland).

Founded in 1924, Irving Oil operates Canada’s largest refinery in Saint John, New Brunswick, along with more than 900 fuelling locations and a network of distribution terminals spanning Canada and New England. It also operates Ireland’s only refinery, located in Whitegate, Co. Cork.
