Homburger advises Transocean Ltd in its acquisition of Songa Offshore SE on Swiss corporate law matters

Transocean Ltd. (NYSE: RIG) (Transocean) announced that it has reached an agreement with Songa Offshore SE (Songa) whereby it will, subject to certain conditions, make a voluntary exchange offer to acquire 100% of the issued and outstanding shares of Songa, including shares issued before expiry of the offer period as a result of the exercise of warrants, convertible loans and other subscription rights. The consideration in the offer will be based upon NOK 47.50 per share of Songa, representing a 37.0% premium to Songa's five-day average closing price of NOK 34.68 per share.

Eversheds Sutherland advises Forewind consortium on swap agreements for world’s largest offshore wind development

Eversheds Sutherland has advised the Forewind consortium on the arrangements to swap ownership interests in the four consented Dogger Bank offshore wind projects which, with a total targeted installed capacity of 4.8GW, make up the largest offshore wind development in the world.  These projects, located more than 130km off the Yorkshire Coast, have the potential to provide renewable energy to up to five million UK homes.

Ashurst advises Edify Energy on the development and financing of large-scale Queensland solar projects

Ashurst has advised leading Australian renewables company, Edify Energy Pty Ltd (Edify Energy) on the development, financing and equity transfer to build and operate two large-scale solar farms in Northern Queensland: the 150-megawatt Daydream and 50-megawatt Hayman Solar Farms, in one of Australia's largest solar portfolio financings to date.

Upon completion, the solar farms have a total capacity of 240MWp, generating enough power to provide 73,000 homes with clean energy. The solar farms are ready for construction and are expected to be fully operational by 2018.

Hengeler Mueller advises DONG Energy on the divestment of a 50% stake in offshore wind farm Borkum Riffgrund 2 to Global Infrastructure Partners

DONG Energy signed an agreement to divest of a 50% stake in the German offshore wind farm Borkum Riffgrund 2 to Global Infrastructure Partners (GIP). The total price amounts to approximately EUR 1,170 m.

DONG Energy is currently constructing the project that will consist of 56 turbines with an aggregate capacity of 450MW in the North Sea. DONG Energy will provide operation and maintenance services and market the power production. The acquisition is subject to approval by the cartel authorities.

Renewables experts advise ENGIE and Mitsui JV on the development of the A$250 million Willogoleche Wind Farm

Herbert Smith Freehills has advised the Australian JV between ENGIE and Mitsui, International Power (Australia) Holdings on the development of the A$250 million Willogoleche Wind Farm located on Willogoleche Hill, approximately 160 kilometres north of Adelaide, South Australia.

The site will comprise 32 wind turbines and will have a total generating capacity of approximately 119 megawatts when constructed.
