White & Case Advises EQUATE Petrochemical and Kuwait Olefins on US$500 Million Issuance of Trust Certificates

Global law firm White & Case LLP has advised EQUATE Petrochemical Company K.S.C.C. and The Kuwait Olefins Company K.S.C.C. on the US$500 million issuance of trust certificates by EQUATE Sukuk SPC Limited under its US$2 billion trust certificate issuance programme.

The trust certificates, which were issued in a single tranche maturing in 2024, were offered pursuant to Regulation S and are listed on the Irish Stock Exchange, and have a profit rate of 3.944 percent per annum.

Together with Hengeler Mueller Houthoff Buruma advised Vitol with the acquisition of OMV Petrol Ofisi Holding A.S (“Petrol Ofisi”) from OMV AG, the international integrated oil and gas company based in Vienna. The acquisition was announced on March 3, 2017 and is subject to certain conditions precedent and relevant regulatory approvals. Petrol Ofisi is the market leader in fuel products and distribution in Turkey.

DLA Piper advises the Australian Renewable Energy Agency on the Whitsunday Solar Farm

DLA Piper has advised the Australian Renewable Energy Agency (ARENA) on project financial close for another of ARENA's multi-million dollar large-scale solar PV competitive funding round projects.
 
ARENA has committed up to AU$9.5 million in grant funding for the Whitsunday Solar Farm in Collinsville, Queensland – one of three large-scale solar projects to be developed by Edify Energy and Wirsol, along with the Hamilton Solar Farm and Gannawarra Solar Farm.
 

Linklaters Acts for Eni on its Sale of 25% of Area 4 in Mozambique to ExxonMobil

Linklaters acted for Eni on its agreement to sell shares in Eni East Africa SpA equating to a 25% indirect participating interest in Area 4, offshore Mozambique. Eni will continue to hold further shares in Eni East Africa equating to a 25% indirect participating interest in Area 4. The Area 4 joint venture led by Eni has made a series of major gas discoveries offshore of Mozambique in recent years, and is currently progressing related LNG production projects including the Coral South floating LNG project.

Houthoff Buruma advised VTTI B.V.to acquire all publicly held common units in the partnership of VTTI Energy Partners LP

Houthoff Buruma advised VTTI B.V. in its proposal to the general partner of VTTI Energy Partners LP (NYSE: VTTI) to acquire all publicly held common units in that partnership in exchange for USD 18.75 per common unit. The proposed transaction is to be effected through a merger of the partnership with a wholly-owned subsidiary of VTTI B.V. and is subject to negotiation of mutually satisfactory definitive documentation by the boards of VTTI B.V. and the partnership.

Burges Salmon helps Snowdonia Pumped Hydro secure development scheme

Planning and energy lawyers from Burges Salmon advised the company to secure development consent for a pumped hydro-electric storage scheme.

Planning and Energy sector experts from Burges Salmon have advised Snowdonia Pumped Hydro in receiving development consent from the Secretary of State for Business, Energy and Industrial Strategy for a 99.9MW pumped hydro storage facility at Glyn Rhonwy near Llanberis in Snowdonia. The consent was granted by the Secretary of State on 8 March 2017.

WFW advises Capital Stage on acquisition of five solar plants in Italy

Watson Farley & Williams (“WFW“) has advised Capital Stage, Germany’s largest independent solar and wind park operator based in Hamburg and listed on the SDAX of the Deutsche Börse, on the acquisition from an Italian-German joint venture of five Italian solar parks financed by a major German Bank.

The five solar parks, with a total capacity of nearly 5 MW, are located in the province of Lecce (Apulia Region, south of Italy). The total investment volume, including debt financing on the project level, amounts to roughly €19.5m.

King & Wood Mallesons (KWM) has advised Persta Resources Inc (Persta, Stock Code: 3395) as its Hong Kong legal counsel on its HK$220 million initial public offering and listing on the Main Board of The Stock Exchange of Hong Kong Limited. The transaction marks the first Canadian resource company IPO in Hong Kong since 2012.

Clifford Chance advises Integra Group on its RUB8.7 billion debt restructuring by Sberbank and Alfa-Bank

The Moscow office of Clifford Chance has advised Integra Group on its debt restructuring, the financing in the amount of RUB8.7 billion has been provided by the syndicate consisting of Sberbank and Alfa-Bank.

All obligations under the syndicated loan are to be performed within 6 years (by December 2022), allowing the company to significantly extend the repayment period for existing loans, obtain a convenient schedule and to raise additional working capital finance.

Norton Rose Fulbright has advised Infinity 50 for Renewable Energy S.A.E. on the finance and project documentation for a 50MW solar PV park in Egypt.  The project reached financial close as part of Egypt’s solar feed-in-tariff (FIT) round one, making the project eligible for the FIT round one tariff of $0.1434 per kWh.  The Egyptian Electricity Transmission Company is purchasing all electricity from the project under a 25 year power purchase agreement.
