Vinge advises Statoil in connection with transaction concerning Lundin Petroleum and International Petroleum Corporation

Vinge advises Statoil ASA (“Statoil”) in connection with a transaction concerning Lundin Petroleum AB (publ) (“Lundin Petroleum”) and International Petroleum Corporation (“IPC”). The board of Lundin Petroleum has proposed to spin-off certain assets outside of Norway into a newly incorporated company, IPC, and to distribute the shares in IPC as dividend in kind to the shareholders of Lundin Petroleum. The intention is to list the shares of IPC on the Toronto Stock Exchange and Nasdaq Stockholm.

Dentons advises Nordian UK on the sale of its Wick Farm solar PV project

London—Dentons has advised Nordian UK, part of the Gamma group, a Spanish technological group with a strong focus on renewable energy, on the sale of its solar PV project at Wick Farm, Somerset. Nordian UK sold its shares in the project company to a leading solar developer in the latest of a series of transactions for Gamma relating to its Wick Farm projects.

Hogan Lovells Advises on Pertamina's Tender Offer for Maurel & Prom

Hogan Lovells' Paris office advised Indonesian oil company, Pertamina, on the successful completion of its tender offer for Etablissements Maurel & Prom.

Pertamina now owns 72.65% of the share capital, 52.09% of the outstanding Ornanes 2019, and 41.77% of the outstanding Ornanes 2021 of Etablissements Maurel & Prom. The enterprise value of Etablissements Maurel & Prom amounted to approximately €1.3 billion.

Hogan Lovells advises Repower AG on issue of promissory notes

Led by their Frankfurt-based partner Michael Schlitt Hogan Lovells advised Repower AG on the issue of promissory notes, in the total amount of EUR 50 million.

The promissory notes were issued by Repower on 23 January 2017, were divided into two tranches with terms of 7 and 8 years and with a fixed rate of interest. Lead arranger and structurer of the transaction was ING Bank, a branch of German bank ING-DiBa AG.

Clifford Chance advises KEPCO on pioneering Fujeij wind project in Jordan

Clifford Chance has advised Korea Electric Power Company (KEPCO) on the development and financing of an 89.1MW wind power plant in the Fujeij area in Jordan.

It is one of the largest renewable energy projects in Jordan, and will contribute to boosting the country's reliance on domestic energy sources. The total construction cost of the project is estimated at US$184 million and the plant is scheduled to start operating at the end of 2018.

Gide, counsel to SDX Energy on the acquisition of Circle Oil assets in Morocco

Gide Cuatrecasas Casablanca has advised SDX Energy on the acquisition of Circle Oil’s assets in Morocco. Circle Oil held certain gas operating concessions located in the Gharb basin (Morocco).

This acquisition will enable oil & gas company SDX Energy, previously active only in Egypt, to increase its portfolio of production assets and its reserves at a regional level.

SDX Energy was advised by Gide Cuatrecasas Casablanca, with a team comprising partner Wacef Bentaibi, and associates Loris Marghieri, Ghita Bourquouquou and Omar Fatémi.

WFW advises DONG on reorganisation of Lincs offshore wind farm JV

International law firm Watson Farley & Williams (“WFW”) has advised long standing client DONG Energy (“DONG”) on the reorganisation of its Lincs offshore wind farm (“Lincs”) joint venture following the decision of partners Centrica and Siemens Project Ventures to sell their respective 50% and 25% stakes in the Lincs project. DONG retains its 25% stake in Lincs.
