Sidley Advises Kimmeridge Energy on Its Disposal of Kimmeridge GmbH

Sidley advised Kimmeridge Energy, a private equity asset manager focused purely on the energy sector, in connection with its disposal of Kimmeridge GmbH, its German exploration and production business, to the RDG platform, a joint venture of Petroleum Equity and RAG.

Sidley's London-based Private Equity team comprised partner Erik Dahl and associates Michelle Tong, Isabel Berger and Maud Graves. Support was also provided by Houston/New York partner Irving Rotter, co-head of Sidley’s Energy practice.

White & Case Advises Saudi Aramco on Inaugural Refinery Project in South East Asia

White & Case LLP has advised Saudi Arabian Oil Company (Saudi Aramco) on its Joint Venture Development Agreement with PT Pertamina (Persero) (Pertamina), Indonesia's state-owned oil and gas company, for the approximately US$5 billion upgrade of the Cilacap refinery in Indonesia.

The agreement was signed on December 22, 2016 between Saudi Aramco President and CEO Amin Nasser and Pertamina President-Director and CEO Dwi Soetjipto, detailing the framework for moving the project to the next phase of development. This followed the heads of agreement signed in November 2015.

Davis Polk Advises Technip on the Closing of Its Combination with FMC Technologies

Davis Polk advised Technip S.A. on the closing of its combination with FMC Technologies, Inc. The transaction to form TechnipFMC plc, the new U.K. combined entity, was implemented through a European cross-border merger and a U.S. reverse triangular merger. Technip shareholders received two shares of TechnipFMC for each share of Technip, and FMC Technologies shareholders received one share of TechnipFMC for each share of FMC Technologies.

Renewables experts advise AGL Energy Limited on 200MW Silverton Wind Farm

Herbert Smith Freehills has advised AGL Energy Limited on the project delivery, planning and land aspects of the Silverton Wind Farm, including engineering, procurement and construction and operation and maintenance of the project.

The Silverton Wind Farm is to be located in the Barrier Ranges in western NSW and is the first greenfield project to be acquired by the Powering Australian Renewables Fund (PARF). PARF is a partnership between AGL, QIC and Future Fund for the development of approximately 1,000MW of large-scale renewable energy projects.

Infrastructure experts advise AGL Energy on Portland Smelter electricity hedge agreement

Herbert Smith Freehills has advised AGL Energy Limited on a new four year agreement to supply electricity to the Portland Smelter Joint Venture Participants’ (Alcoa) aluminium smelter in Portland, Victoria.

The agreement is for a volume of 510MW, which is approximately the equivalent of 10 per cent of Victoria’s total electricity load.

The new agreement was needed to help secure the future of the Portland Smelter and there was significant pressure on all parties to quickly reach a workable deal.

WFW advises Elecnor on refinancing via project bonds of eight Spanish photovoltaic plants

Watson Farley & Williams (“WFW”) has advised Celeo Concesiones e Inversiones, S.L.U. (“Celeo”), which is wholly owned by leading Spanish infrastructure and energy group Grupo Elecnor S.A. (“Elecnor”), on the €41.6m refinancing via the issuance of project bonds of eight Spanish photovoltaic plants (seven of them roof-mounted) with a total installed capacity of 15.3 MW. The bonds were issued by Celeo Fotovoltaico S.A.U. Banco Santander acted as structuring agent, arranger and sole bookrunner for the transaction.

Reed Smith advises Kobo on the acquisition of Tolino

MUNICH (10 January 2017) – Reed Smith comprehensively advised the Canadian company Rakuten Kobo Inc. on the acquisition of the tolino technology platform from Deutsche Telekom and the technology cooperation with the Tolino-Alliance. Terms of the acquisition were not disclosed. The transaction is subject to regulatory approval and is expected to close end of January 2017.

AP Renewables’ $US225 Million Climate Bond Named IJ Global Asia Pacific Project Bond Deal of the Year

IJ Global named AP Renewables' $US225 million climate bond as the Asia Pacific Project Bond Deal of the Year at its annual IJ Global Awards 2016.  Gibson Dunn represented AP Renewables as issuer, in what was the first climate bond issued for a single project in an emerging market.  The bond was issued in connection with the refinancing of the Tiwi-Makban geothermal plant.  The Gibson Dunn team was led by Patricia Tan Openshaw who was assisted by Cristina Uy-Tioco and Juhae Chae.  The winners will be announced at a ceremony in Singapore on March 9, 2017.
