White & Case Advises Bank Syndicate on Capgemini's €1.1 Billion Notes Offering

Global law firm White & Case LLP has advised the bank syndicate led by Barclays, BNP Paribas, Citigroup, Crédit Agricole CIB, HSBC, Morgan Stanley, Natixis and Société Générale as joint lead managers on Capgemini's €1.1 billion notes offering. This offering is composed of a €600 million 1% notes due 2024 and a €500 million 1.75% notes due 2028.

The net proceeds of the €600 million offering have been used to refinance the existing notes due 2020, issued in 2015, by way of an intermediated tender offer.

Slaughter and May advised Close Brothers Group plc on the establishment of its £1 billion Euro Medium Term Note programme and on the issue under the programme of £250 million 2.750% senior unsecured notes due 2023

Slaughter and May advised Close Brothers Group plc on the establishment of its £1 billion Euro Medium Term Note programme and on the issue under the programme of £250 million 2.750% senior unsecured notes due 2023. The notes are listed and traded on the Regulated Market of the London Stock Exchange.

HSBC Bank plc and The Royal Bank of Scotland plc (trading as NatWest Markets) acted as Joint Lead Managers in respect of the issuance.

Ashurst advised HSBC, Rabobank and RBS as lenders on a new revolving credit facility for Finsbury Food Group, a leading speciality bakery manufacturer, producing a diverse range of cakes, bread and bakery snack products for multiple major UK retailers and for the foodservice channel. The new £45 million revolving credit facility is on improved terms and has a maturity of five years.

The new facility has been put in place to refinance several existing debt facilities and provides flexibility of use to promote the Group's growth objectives.

Banco Santander and CAF were advised as Original Lender, Structuring Bank and Mandated Lead Arranger in the USD 183,022,793 long term loan financing for the construction of the General San Martin port terminal in Pisco (Perú). Leading investment and development bank, Cofide acted as participant having Santander as its fronting bank.

Orrick Advises New “Unicorn” Revolut on $250 Million Series C Financing Round

Orrick has advised Revolut on its $250 million Series C financing round, bringing its post-money valuation to more than $1.7 billion. The latest fintech company in Europe to achieve “unicorn” status (a valuation over $1 billion), Revolut is a London-based digital banking alternative that allows users to hold, exchange and transfer currencies without fees.

The investment round was led by DST Global, along with institutional and existing investors Index Ventures, Ribbit Capital, GFC Global, Sprints Capital, Draper Esprit, Lakestar and Baring Vostok.

Davis Polk advised Sumitomo Mitsui Banking Corporation in connection with its reopening of its January 2018 senior debt takedown offering issued under its global medium-term notes program. The reopening consisted of $750 million aggregate principal amount of senior floating-rate notes due 2020 guaranteed by SMBC’s New York branch.

SMBC is one of world’s largest commercial banks by assets.

WFW advise on Euronav financings

Watson Farley & Williams LLP (“WFW”) acted for Crédit Agricole Corporate & Investment Bank in relation to a US$173.5m loan facility for Euronav NV signed on 22 March 2018. This facility provides financing for four ice-class suezmax newbuildings under construction by Hyundai Samho Heavy Industries Co., Ltd., two of which have recently been delivered with the remaining two scheduled for delivery later in 2018.
