Dentons Muñoz represents IDB Invest in $40 million secured loan to Metrobank, S.A. in Panama

On December 21, 2018, the Inter-American Investment Corporation (“IDB Invest”) as lender, and as agent on behalf of Inter-American Development Bank, closed on a $40 million secured A/B loan facility to Metrobank, S.A., a sociedad anónima organized and existing under the laws of the Republic of Panama.

Clifford Chance advises Barclays on AU$1.7 billion acquisition financing by EG Group of Woolworths' petrol stations

Leading international law firm Clifford Chance has advised multinational investment bank and financial services company Barclays on the financing for the AU$1.7 billion acquisition by EG Group of Woolworths' petrol stations.
The deal represents UK-based EG Group's first significant entry into Australia. The financing was arranged by Barclays as "lead left", with Deutsche Bank and UBS acting as the other arrangers and lead managers.

Stephenson Harwood advises Duff & Phelps on Zolfo Cooper Asia acquisition

Clifford Chance Advises LATAM on US$600M Senior Notes Issuance

Clifford Chance US represented LATAM Finance Limited, as issuer, and LATAM Airlines Group S.A. ("LATAM"), as guarantor, in the Rule 144A / Regulation S offering of $600,000,000 of 7.000% Senior Notes due 2026 issued and sold by LATAM Finance Limited, a finance subsidiary of LATAM, and guaranteed by LATAM. The proceeds are expected to be used for general corporate purposes.

Norton Rose Fulbright advises Starling Bank on its investment round

Global law firm Norton Rose Fulbright has advised Starling Bank on its recent fundraising.
Starling Bank, a leading digital banking platform, has raised £60 million in a Series C funding round led by Merian Global Investors. Starling also raised a further £15m from its existing seed investor Harald McPike, a Bahamas-based hedge fund investor.

Norton Rose Fulbright advises on financing of 81MW Hedet Wind Power Project in Finland

Global law firm Norton Rose Fulbright has advised KFW IPEX Bank GmbH and Skandinaviska Enskilda Banken AB (PUBL) on the financing of the Hedet wind power project, which has been developed by Neoen and Prokon Finland. The financing was signed on December 19, 2018.

Hedet wind farm is based in Finland, and the output of the farm will be sold to Google under a corporate PPA. The wind farm will generate 81MW of electricity, with Nordex acting as turbine supplier and EPC contractor.

Gide, counsel to Société Générale group on closing the sale of Self Trade Bank S.A.U., a Boursorama subsidiary, to Warburg Pincus

Gide has advised Societe Generale group on closing the sale of the entire stake of Boursorama in Self Trade Bank S.A.U., its Spanish subsidiary, to private equity fund Warburg Pincus.

The sale was announced in June 2018.

This transaction is part of Societe Generale group's continuous effort to simplify its setup and to focus on its core businesses to create synergies within the group.

WFW advises Investec on first of its kind private placement bond-supported French tax leasing for EWA Air

Watson Farley & Williams (“WFW”) advised Investec Bank Limited (“Investec”) as lead arranger, agent and trustee on the €36m private placement bond in relation to the financing of the purchase and French tax leasing of two (2) ATR72-600 aircraft for EWA Air.

The transaction was guaranteed by ATR, EWA Air and Air Austral. La Banque Postal provided a structurally subordinated loan in respect of the corresponding tax benefit. A wholly separate WFW team advised ATR on the transaction.

Baker McKenzie Wong & Leow recently acted as the lead counsel and English counsel to the mandated lead arrangers — MUFG, Rabobank, ANZ, Barclays, DBS, First Abu Dhabi Bank, JP Morgan and Societe Generale — and to more than 20 primary syndicate lenders on a USD 3 billion syndicated acquisition financing facility to UPL Corporation Limited for the acquisition of Arysta LifeScience Inc. from Platform Specialty Products Corporation. This deal is the largest outbound M&A by an Indian company since the 2008 global financial crisis.
