Davis Polk Advises Sumitomo Mitsui Banking Corporation on Its $2 Billion Notes Offering

Davis Polk advised Sumitomo Mitsui Banking Corporation in connection with a global medium-term note program update and a benchmark takedown, which consisted of $1.25 billion aggregate principal amount of 2.514% senior notes due 2020 and $750 million aggregate principal amount of senior floating-rate notes due 2020, each guaranteed by SMBC’s New York branch.

SMBC is one of world’s largest commercial banks by assets.

Sberbank successful in challenge against application made to High Court by International Bank of Azerbaijan

Fried Frank represented Sberbank in a successful challenge against an application made to the High Court by the International Bank of Azerbaijan (the “IBA”), pursuant to which the IBA sought an order for a permanent moratorium against creditor action in England and Wales. The application related to the voluntary restructuring of the IBA in Azerbaijan.
 

Ashurst advises Natixis on financing the acquisition of landmark building Schicklerhaus in Berlin

Ashurst advised Natixis Pfandbriefbank AG (Natixis) on financing the acquisition of landmark office building "Schicklerhaus" in Berlin-Mitte by Austrian SIGNA Group. The property was sold by Tristan Capital Partners. The parties have agreed not to disclose the purchase price and financing volume.

Bird & Bird advises Berenberg, Gossler & Co as sole global bookrunner on a secondary placing of shares for AIM listed XLMedia

International law firm Bird & Bird has advised Joh. Berenberg, Gossler & Co. KG as sole global bookrunner on a successful placing of new Ordinary Shares for XLMedia Plc, raising gross proceeds of £31.7 million. The placing was oversubscribed and was carried out by way of an accelerated bookbuild. The admission of the new Ordinary Shares to trading on AIM will take place on 22 January 2018.

XLMedia, a leading provider of digital performance marketing, will use the proceeds from the placing to fund future acquisition opportunities.

TLT seals £28.5m Santander investment in energy storage

TLT has advised Santander on a landmark transaction signalling that the energy storage market is now ripe for debt funding.
The investment sees Santander provide a £28.5m facility to Battery Energy Storage Solutions Limited (BESS), an independent developer, operator and owner of battery storage units in the UK that aims to reach a 100MW portfolio by the end of 2018.

Nemak’s $500 Million Offering

Cleary Gottlieb represented BNP Paribas, J.P. Morgan and Morgan Stanley as initial purchasers in the global bond offering by Nemak, S.A.B de C.V.

The transaction consisted of an offering of $500 million 4.750 percent senior notes due 2025 pursuant to Rule 144A and Regulation S. The offering was the first high-yield debt issuance by a Mexican corporation in 2018.

 The transaction priced on January 11, 2018, and is expected to close on January 23, 2018.

Linklaters advises on significant US$3 billion concurrent share placement and convertible bond issue for Country Garden Holdings

Global law firm Linklaters has successfully advised on a US$3 billion concurrent share placement and convertible bond issue for Country Garden Holdings, China’s largest real estate developer in terms of contracted sales in 2017 and ranks among the top three real estate enterprises globally. The deal is the largest equity deal in Asia this year so far. It is also the largest ex-Japan convertible bond issued to the international markets since 2007.
